SCHEVO END-USER LICENSE AGREEMENT

This is an English translation provided for information only. The Spanish version is the
binding one (see clause 17).

This agreement is made between you, an individual or a legal entity ("the Licensee"), and
the owner of Schevo, who can be contacted at contact@schevo-db.com
("the Owner"), regarding the Schevo
program, its documentation and its updates ("the Software").

By installing, activating or using the Software you accept this agreement. If you do not
accept it, do not install or use the Software. If you accept it on behalf of a company or
organization, you confirm that you have authority to bind it.

1. Purchase and the reseller
Licenses are sold through an authorized reseller, which acts as the seller to you and
handles payment, invoicing, taxes, subscription renewals and refunds under its own terms of
sale. Before you pay, you are shown the total price including applicable taxes, the length
of the period and, for subscriptions, the fact that they renew automatically. This
agreement governs the use of the Software and is independent of those terms; refunds are
   also governed by clause 11.

2. License and editions
The Owner grants you a non-exclusive, non-sublicensable license to install and use the
Software according to the edition, the license type and the number of users or seats you
   have purchased:
   a) Personal: for an individual who buys the license in their own name, pays for it and
uses it themselves, including self-employed people with no employees. Only that person
may use the Software, on up to two of their own computers (for example, a desktop and a
laptop). A company, another organization or a self-employed person with employees may
not buy, pay for or request a refund of a Personal license.
   b) Pro: for companies, organizations and self-employed people with employees, from 1 to 9
users. Each license is named: it is used by one specific person, on up to two
      computers.
   c) Business: from 3 to 24 seats for a single organization. Each seat is used by one person,
      on up to two computers.
   d) Enterprise: from 25 seats, or as a license for a whole site, under the terms of the
contract signed with the Owner, which prevails over this agreement where they conflict.
Requests to change the holder of a license, or the person who uses a license or a seat,
are handled case by case by writing to contact@schevo-db.com.
Using the Software on more computers or by more people than authorized requires additional
licenses. If you stop meeting the requirements of your edition (for example, if a company
starts paying for a Personal license or you hire people who use the Software), you must
move to the appropriate edition; the unused part of the previous license will be credited
under the terms published on the Schevo website.

3. License types
   a) Subscription: this is the license type of the Pro, Business and Enterprise editions,
and one of the two of the Personal edition. You may use every version of the Software
while the subscription is active. The period is yearly (or monthly, when offered) and
renews automatically at the end of each period for another period of the same length,
unless you cancel it before that date
through the procedure provided by the reseller. You will be notified by email
30 and 7 days before each yearly renewal, with the amount to be charged; a price change
will be notified at least 30 days in advance and will not apply before the next
renewal. If you cancel, you keep the subscription until the end of the paid period,
with no refund for the current period except as provided in clause 11.
   b) End of the subscription: if it is not renewed, the Software keeps working with all its
features for a grace period of 14 calendar days from the end of the paid period. During
that period, the Software shows you how many days you have left to renew before it
switches to read-only mode. After that period it runs in the read-only mode described
in clause 4. Your files are not changed and remain accessible. When you renew, the new
key restores full use. In the Enterprise edition the grace period is the one set in the
      contract.
   c) Perpetual license: only available in the Personal edition. You may use, with no time
limit, every version of the Software released up to the end-of-updates date shown in
your key (12 months from purchase). Renewing updates is optional and extends that date
by 12 months, counted from the previous end date. A version released after that date
runs in read-only mode until you renew; the version you already have keeps working and
you may go back to it at any time.

4. Free trial and read-only mode
   a) You may use the full Software for 30 days at no cost to evaluate it.
   b) Without a valid license (when the trial ends, when a subscription and its grace period
end, or after a refund), the Software runs in read-only mode: you can open, browse,
search, compare and export models as images, but not edit, save or generate SQL. The
"validate" and "check" command-line commands are always free. You may use read-only
mode and those commands at no cost and with no time limit, including for professional
purposes, under the terms of this agreement.

5. License keys
The key is checked on your computer, with no internet connection, and shows the license
type and, where applicable, the end date of the subscription or of updates. The key belongs
to your license: do not publish it or share it beyond what clause 2 allows. The Owner may
revoke or decline to renew keys used in breach of this agreement. The key of a refunded
license is revoked and stops being valid.

6. Ownership
The Software is protected by intellectual property laws. It is licensed, not sold, to you.
The Owner keeps all rights not expressly granted to you in this agreement. "Schevo" and its
logo are distinctive signs of the Owner.

7. Restrictions
Except where applicable law expressly allows it and it cannot be excluded by contract (in
particular, article 100 of the Spanish Intellectual Property Act: backup copies, observing
how the program works, and decompiling to achieve interoperability), you may not:
   a) decompile, disassemble or reverse engineer the Software;
   b) rent, lend, sell, sublicense or redistribute the Software or its keys;
   c) circumvent, disable or modify the licensing system or the trial period;
   d) remove or alter proprietary, license or third-party notices.

8. Your data
The models, SQL scripts, diagrams and other files you create with the Software are yours.
The Software works locally: it does not send your content or usage data to anyone. It keeps
on your computer the license key, your preferences, operation logs and recovery copies,
which you can delete at any time.

9. Third-party components
The Software includes third-party components distributed under their own licenses, listed
in THIRD-PARTY-NOTICES.txt and shown in Help > About. Those licenses prevail over this
agreement with respect to those components.

10. Reviewing generated output
The Software generates SQL and migration scripts from your models. You are responsible for
reviewing and testing them before running them against a database, and for keeping backups
   of your data.

11. Money-back guarantee and consumer rights
   a) 14-day money-back guarantee, for every customer: if Schevo is not right for you, we will
refund you if you ask within 14 calendar days of payment, both for the first purchase
and for each yearly renewal, by writing to contact@schevo-db.com or through the reseller,
without having to give any reason. The refunded license stops being valid. The
guarantee on the first purchase applies only once per customer and edition; with
monthly billing, when offered, it only covers the first month. This does not limit any
rights you have under the law.
If you are a consumer, that is, if you use the Software for purposes outside any business
   or professional activity:
   b) Withdrawal: when you buy, you are asked for your express consent to receive the key and
start using the Software immediately, and you are told that you thereby lose the
statutory right of withdrawal from distance contracts. The guarantee in paragraph a)
applies in any case and does not depend on that right.
   c) Legal guarantee: you have the rights of the legal guarantee of conformity for digital
content under Spanish consumer protection law. Nothing in clauses 12 and 13 limits those
rights or any other right that consumer law grants you and that cannot be waived.
   d) Any dispute arising from this agreement may be brought before the courts of your place
      of residence.

12. Warranty
To the extent permitted by applicable law, the Software is provided "as is" and the Owner
does not warrant that it is free of errors or fit for a particular purpose. The Owner will
fix, in later versions, the errors you report that can be reproduced, without this being an
   additional warranty.

13. Liability
To the extent permitted by applicable law, the Owner is not liable for indirect damages or
for loss of data, profits or business, and the Owner's total liability is limited to the
amount you paid for the license in the twelve months before the claim. These limitations do
not apply in cases of willful misconduct or gross negligence, or to personal injury.

14. Term and termination
This agreement remains in force while you use the Software. If you materially breach it and
do not remedy the breach within 15 days of the Owner notifying you, the license ends and you
must stop using the Software, without prejudice to the rights granted to you by law. Clauses
   6, 7, 13 and 16 survive termination.

15. Changes to this agreement
New versions of the Software may include an updated version of this agreement, which will
apply to those versions. Versions you have already installed remain governed by the
agreement you accepted when installing them.

16. Governing law and jurisdiction
This agreement is governed by Spanish law. If you are not a consumer, the parties submit to
the courts of the city of the Owner's domicile in Spain.

17. Language
This agreement is drafted in Spanish. Any translation is provided for information only and,
in case of discrepancy, the Spanish version prevails.
